Acceptance of Terms

By accessing or using the NuaBuild website, services, or digital products (collectively “Services”), you agree to be bound by these Terms and Conditions and our Privacy Policy. If you do not agree, you may not use our Services.

These Terms also apply, where applicable, to programs, memberships, training, events, communities, digital products, and other services offered directly by Nicheologist LLC, including AI Momentum Mastermind. References to “we,” “our,” or “us” include Nicheologist LLC and its applicable brands, divisions, and programs.

Description of Services

NuaBuild provides business setup and marketing-related services, including but not limited to:

LLC formation assistance

EIN and business phone setup

Website and email configuration

Business credibility consulting

Automation and marketing system setup

Nicheologist LLC may also provide memberships, mastermind programs, educational programs, live and virtual events, training, consulting, communities, digital resources, artificial intelligence-related education, and other business-development services, including AI Momentum Mastermind.

We do not provide legal, tax, or financial advice. You are responsible for consulting qualified professionals before making business or financial decisions.

Payment and Billing

All fees for Services must be paid in full at the time of purchase unless otherwise agreed in writing.

Payments are processed securely through our designated payment processor.

NuaBuild reserves the right to suspend or cancel Services for nonpayment.

Certain setup or consulting packages may be non-refundable once work has begun.

When a Service, program, or membership is purchased using an installment payment plan, the installment option is a method of paying the total contractual amount owed and does not, by itself, convert the purchase into a month-to-month service or provide a right to cancel future installments.

By selecting a recurring installment payment option, you authorize Nicheologist LLC and its payment processor to charge the payment method provided for the scheduled installments associated with your purchase until the applicable payment obligation has been satisfied, subject to applicable law.

NuaBuild reserves the right to modify its pricing for any Service at any time. Updated pricing will apply to new purchases or renewals following notice of the change.

Refund Policy

All sales are final due to the nature of NuaBuild’s customized business setup and consulting services.

Each project involves immediate allocation of time, resources, and third-party costs (such as filings, registrations, and digital asset creation).

Accordingly, payments are non-refundable once made, except where a refund is required by applicable law or where a specific written offer or agreement issued by Nicheologist LLC expressly provides otherwise.

By completing your purchase, you acknowledge and agree to this no-refund policy and understand that all payments are made in exchange for access to NuaBuild’s expertise, proprietary processes, and service fulfillment.

Initiating a payment dispute or chargeback does not automatically terminate or eliminate any contractual payment obligation that is otherwise valid and enforceable. Nicheologist LLC reserves the right to provide its payment processor, bank, card network, or other financial institution with documentation regarding the purchase, agreed terms, services or access provided, communications, payment authorization, and other relevant transaction information in response to a dispute or chargeback.

4A. AI Momentum Mastermind Membership

AI Momentum Mastermind is a program offered by Nicheologist LLC. Membership requires an initial twelve (12) month commitment unless a different term is expressly stated in writing at the time of purchase.

Members may pay the applicable membership fee in full or, when offered, through monthly or other installment payments. Selecting a monthly payment option does not create a month-to-month membership. The monthly payment option is an installment plan for the member’s full twelve-month contractual commitment.

If a member chooses an installment plan, the member remains responsible for all scheduled payments associated with the initial twelve-month commitment, even if the member later chooses to stop participating, attending events or trainings, accessing the community, or otherwise using the membership benefits.

AI Momentum Mastermind membership payments are non-refundable except where otherwise required by applicable law or expressly provided in a written

agreement issued by Nicheologist LLC. Failure to attend an event, training, mastermind session, Zoom call, or other membership activity does not create a right to a refund, credit, or reduction of the member’s payment obligation.

If a scheduled payment fails or becomes past due, Nicheologist LLC may suspend access to the Mastermind, community, events, training materials, recordings, resources, or other membership benefits until the account is brought current. Suspension of access for nonpayment does not eliminate any payment obligation otherwise due under the membership agreement.

The dates, times, locations, venues, speakers, experts, training topics, technology platforms, resources, and format of Mastermind events and programming may reasonably change from time to time. Nicheologist LLC may substitute speakers, modify programming, change platforms, or reschedule events when reasonably necessary.

Unless expressly stated otherwise in writing, members are responsible for their own transportation, lodging, meals, and other expenses associated with attending in-person events.

AI Momentum Mastermind is designed to provide education, collaboration, networking, training, and access to information and strategies being used by members, guests, and presenters. Nicheologist LLC does not guarantee that any particular strategy, technology, artificial intelligence tool, business method, recommendation, or information shared within the Mastermind will produce a specific business, financial, revenue, productivity, or other result.

Unless different renewal terms are clearly disclosed and affirmatively agreed to at the time of purchase or renewal, the initial twelve-month AI Momentum Mastermind membership does not automatically renew for another twelve-month commitment. Any continued membership following the initial term will be subject to the renewal terms and pricing offered at that time.

Client Responsibilities

You agree to:

Provide accurate and timely information required to complete your project.

Maintain communication via email or the client portal.

Review and approve deliverables within 3 business days of submission.

Failure to respond may delay completion or result in project closure without refund.

5A. Review & Accuracy of Business Information

You are responsible for reviewing and approving all business information and deliverables provided by NuaBuild, including spelling, formation documents, ownership or managing member details, business addresses, and website content.

Any incorrect, inconsistent, outdated, or unreviewed business information is the client’s sole responsibility. NuaBuild is not liable for denials, delays, compliance issues, or negative outcomes resulting from inaccurate or non-compliant business data.

Certain Services may incorporate artificial intelligence, automated tools, or AI-assisted content. AI-generated or automated output may occasionally be incomplete, inaccurate, outdated, or contain errors. You are responsible for reviewing information and deliverables provided to you before relying upon or using them for material business, legal, financial, tax, compliance, or other decisions.

No Guarantee of Results

NuaBuild provides strategic and operational support but cannot guarantee specific financial outcomes, funding approvals, or credit results. Success depends on multiple factors including your credit profile, business activity, and adherence to provided guidance.

Nicheologist LLC likewise does not guarantee any specific business growth, income, savings, productivity improvement, funding, sales, leads, clients, opportunities, partnerships, or other outcome resulting from participation in AI Momentum Mastermind or any other educational, consulting, or membership program.

Delays can occur with start time, secretary of state, vendors, client communication.

Timelines provided for Services are estimates unless expressly guaranteed in a separate written agreement. Delays may result from government agencies, third-party vendors, technology providers, client response times, incomplete or inaccurate information, or circumstances outside of our reasonable control.

Intellectual Property

All materials provided by NuaBuild—including templates, training, and digital assets—are protected by copyright and remain the property of NuaBuild or its licensors.

You may not reproduce, distribute, or resell our materials without written consent.

This restriction also applies to AI Momentum Mastermind materials, recordings, presentations, prompts, templates, frameworks, summaries, training materials, software workflows, documents, member resources, and other proprietary content provided by Nicheologist LLC. Membership provides a limited right to use applicable materials for your own personal or internal business purposes and does not transfer ownership of our intellectual property.

You may not record, reproduce, publish, upload, sell, distribute, share access credentials for, or commercially exploit proprietary Mastermind content without prior written permission from Nicheologist LLC.

Confidentiality

We maintain strict confidentiality of client information and data shared during service delivery.

You agree not to share proprietary information, processes, or internal materials received through our Services.

AI Momentum Mastermind is intended to encourage candid discussion among business owners and participants. Members may share business strategies, experiences, financial information, processes, ideas, challenges, or other information that is not intended for public distribution. You agree to respect the confidentiality of other members and not knowingly disclose, distribute, publish, record, or commercially exploit another member’s confidential or proprietary information without that member’s permission.

Because Mastermind programs involve interaction among independent members, guests, speakers, and other participants, Nicheologist LLC cannot guarantee that another participant will comply with confidentiality obligations. Members should use reasonable judgment when deciding what confidential, sensitive, proprietary, or personal information to disclose to other participants.

Limitation of Liability

To the maximum extent permitted by law, NuaBuild and its affiliates shall not be liable for any indirect, incidental, or consequential damages arising out of your use of our Services, including loss of business, profits, or data.

Our total liability shall not exceed the amount paid for the Services in question.

To the maximum extent permitted by applicable law, these limitations also apply to Nicheologist LLC, AI Momentum Mastermind, and their owners, employees, contractors, presenters, agents, and affiliates.

Nicheologist LLC is not responsible for independent statements, recommendations, representations, products, services, conduct, or business decisions of Mastermind members, guest speakers, vendors, or other third parties. Participation in or reliance upon information shared by another participant or third party is at the member’s own discretion and risk.

Termination

NuaBuild reserves the right to terminate your access to Services at any time for:

Violation of these Terms,

Fraudulent activity, or

Abuse of staff or systems.

Nicheologist LLC may also suspend or terminate access to AI Momentum Mastermind for material violations of these Terms, nonpayment, harassment, threatening or abusive conduct, unlawful activity, unauthorized distribution of proprietary materials, or conduct that materially disrupts the community or events.

Upon termination, you will remain liable for any outstanding payments.

Suspension or termination for a violation of these Terms does not entitle the client or member to a refund and does not eliminate payment obligations that accrued or remain due under an agreed fixed-term commitment, to the extent permitted by applicable law.

Modifications

We may update these Terms periodically. Any changes will be posted on this page with a new effective date. Continued use of our Services after updates constitutes acceptance of the revised Terms.

Changes to these Terms will not retroactively increase the price or extend the fixed contractual term of an existing AI Momentum Mastermind membership unless the member separately agrees to the change.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New Jersey, without regard to conflict of law principles.
